This license is an agreement between you and OCTOCONSORTIUM COMPANY LIMITED, a company incorporated in Hong Kong ("we", "us", "our"). It governs your use of the Kit. You accept it by agreeing to it when you buy the Kit, or by installing or using the Kit. If you do not accept it, do not install or use the Kit.

In summary: you may use and modify the Kit for yourself, including in your own work or business. You may not sell, share or publish the Kit or your Changes, provide it for others to use, or incorporate any part of it into a product or service you distribute to others. You remain free to use what Your Lifebot produces for you. This summary does not limit the terms below.

1. Definitions

  • Kit: the Lifebot software and materials we provide, including source code, installer, the Lifebot, Pixel Pomodoro and Typewriter applications, profile, persona, templates, prompts, skills, integrations, scripts, scheduled jobs and documentation, and any updates we provide.
  • You: the individual who bought the license. If a company bought it, "you" means the one individual the company names as its user, and the company is also bound by this license and responsible for that user.
  • Your Lifebot: the copies of the Kit you install and run, which serve only you.
  • Changes: any modification or extension of the Kit, and any work that contains any part of the Kit.

2. License grant

We grant you a personal, non-exclusive, non-transferable, non-sublicensable license to:

  1. install and run Your Lifebot on computers and servers you control;
  2. read, modify and extend the source code of the Kit and make Changes, including with the help of AI coding tools;
  3. make the copies needed for these purposes, including backups and private repositories that only you can access; and
  4. use Your Lifebot in your own work, including your own business.

Sending the Kit's prompts and files to AI model providers as part of running Your Lifebot is permitted. We claim no rights in your data or in what Your Lifebot produces for you.

The license continues until it ends under section 8.

3. One license per person

Each license covers one person. Every person who is given access to, operates, controls, configures or directly uses a copy of the Kit needs their own license.

You may use Your Lifebot in your own work and business, including to create outputs or communicate with other people. A person does not need a license merely because they receive or interact with an output, message or other result produced by Your Lifebot.

Installing, running or making the Kit available for another person's use, or letting another person access or control Your Lifebot, requires a separate license for that person. For a license covering more than one person, contact us.

4. Restrictions

You may not, whether the Kit is modified or not, in whole or in part:

  1. Distribution. Sell, resell, license, sublicense, rent, lease, lend, give away or otherwise distribute the Kit or your Changes.
  2. Publication. Make the Kit or your Changes available to others, including through public repositories or forks, shared drives, forums, file-sharing services or marketplaces. A private repository is permitted only if no one else has access to it.
  3. Products and competing offerings. Use the Kit or your Changes, or any part of them (including the prompts, persona, templates, skills, integrations or configuration), in any product, service, template, boilerplate, starter kit or course that you sell, give or make available to others, including one that competes with or replaces Lifebot. This does not stop you from building something similar without using any part of the Kit.
  4. Hosting. Host, operate or manage the Kit for others, including as a hosted, managed or white-label service, except as section 3 permits.
  5. Transfer. Transfer or assign this license or your download access, unless the law where you live gives you a right to do so. In that case you may transfer only the whole license, and only if you delete all your copies and tell us.
  6. Shared access. Share your download access, or use one license for more than one person.
  7. AI training and substitution. Use the Kit to train or fine-tune an AI model, include it in a dataset, or use an AI tool to reproduce, reconstruct or generate a substitute for the Kit. You may provide parts of the Kit to AI coding tools to help you exercise the modification rights granted in section 2. We reserve all rights in the Kit for text and data mining and AI model training, including for the purposes of any copyright exception for those uses (such as Article 4(3) of Directive (EU) 2019/790).
  8. Notices. Remove or alter copyright, license or attribution notices in the Kit.
  9. Confidentiality. Make the non-public source code or other non-public materials in the Kit available to anyone except as this license permits. You must take reasonable care to keep them private and prevent unauthorized access.

5. Your Changes and feedback

What you add in your Changes is yours. The parts that come from the Kit remain ours, so you may use your Changes only as this license permits. If you send us feedback or suggestions, you give us a free, perpetual, irrevocable right to use them.

6. Ownership

The Kit is licensed, not sold. We and our licensors keep all rights, title and interest in the Kit, including all intellectual property rights. All rights not expressly granted are reserved. This license grants no right to use the Lifebot name or our names, logos or trademarks.

7. Third-party software and services

  1. Open-source components. The applications in the Kit include open-source software, listed with its licenses in THIRD_PARTY_NOTICES.md. Those components are governed by their own licenses, and nothing in this license limits the rights those licenses give you.
  2. Hermes Agent is not part of the Kit. It is installed separately and governed by its own license.
  3. Connected services. The Kit works with third-party services you choose, such as messaging platforms, AI model providers and data sources. You need your own accounts with them, their terms apply, and you are responsible for any fees they charge.

8. Termination

  1. We may end this license immediately if you intentionally sell, distribute, publish, sublicense or commercially exploit the Kit in breach of section 3 or 4.
  2. If you breach any other term and do not remedy the breach within 14 days of our notice, we may end this license by notice.
  3. When the license ends, you must stop using the Kit and delete every copy of it, including every part of the Kit contained in your Changes, backups and repositories. If we ask, you must confirm this in writing.
  4. Sections 4, 5, 6, 8, 9, 10, 11 and 12 survive termination.

9. Disclaimer of warranties

IF YOU ARE A CONSUMER, YOU HAVE LEGAL RIGHTS IF THE KIT IS FAULTY OR NOT AS DESCRIBED. THIS SECTION DOES NOT AFFECT THOSE RIGHTS.

SUBJECT TO THAT, THE KIT IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING AS TO MERCHANTABLE OR SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE KIT WILL BE ERROR-FREE OR UNINTERRUPTED.

Lifebot is a productivity tool. It is not a medical device, and its summaries of sleep, activity, health or other data are not medical, psychological, financial or legal advice. Output generated by AI models may be inaccurate, and you are responsible for checking it before relying on it.

10. Limitation of liability

  1. We are not liable for any loss that was not reasonably foreseeable when you accepted this license, for any indirect or consequential loss, for punitive or exemplary damages, or for loss of profits, revenue, data or goodwill.
  2. Our total liability for all claims relating to the Kit or this license is limited to the amount you paid us for the license.
  3. Nothing in this license limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for loss caused intentionally or by gross negligence, or for any other liability that cannot be limited or excluded by law.
  4. If you are a consumer, nothing in this license limits your legal rights where the Kit is faulty or not as described, including rights to repair, replacement, price reduction, refund or damages. Some jurisdictions do not allow certain warranty exclusions or liability limits, so parts of sections 9 and 10 may not apply to you.

11. Enforcement

Nothing in this license prevents us from seeking an injunction or other interim relief in any court of competent jurisdiction to protect our intellectual property. We may also send takedown notices for copies of the Kit made available without our permission.

12. General

  1. Governing law. This license, and any dispute arising out of or in connection with it or the Kit (including non-contractual disputes), is governed by the laws of the Hong Kong Special Administrative Region. If you are a consumer, this does not take away the protection of the mandatory laws of the country where you live.
  2. Jurisdiction. The courts of the Hong Kong Special Administrative Region have exclusive jurisdiction over those disputes, subject to section 11. If you are a consumer, you may also bring a claim in the courts where you live. If you are a consumer living in the European Union, the European Economic Area or the United Kingdom, we may bring a claim against you only in the courts where you live.
  3. Third-party rights. A person who is not a party to this license has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce or enjoy the benefit of any of its terms.
  4. Entire agreement. This license is the entire agreement about your use of the Kit and replaces any earlier agreement about it. It does not affect any statement we made before your purchase that the law treats as part of our contract.
  5. Severability. If any part of this license is unenforceable, it applies to the maximum extent enforceable, and the rest of the license remains in effect.
  6. No waiver. A delay or failure to exercise a right is not a waiver of it.
  7. Assignment. We may assign this license, for example to a successor business, if this does not reduce your rights under it.
  8. New versions. We may publish new versions of this license. A new version applies only to updates you download after it is published. Earlier versions continue to apply to what you already have.
  9. Notices. We may give you notice by email to the address you used when you bought the Kit. You may give us notice at [email protected].
  10. Language. If this license is translated, the English version prevails.
